YOUR-EMAIL-NETWORK SALES AGENT TERMS OF MEMBERSHIP.

Please read through these Policies, Ethics and Terms carefully to fully benefit and understand your rights and responsibilities as a sales agent of Your-email-network. Your-email-network uses the terms: sales agent, sponsor and members, these are one and the same.

Your-email-network reserves the right to revise this information at any time. When you register as a sales agent of Your-email-network you agree to follow and be bound by the Policies, Ethics and terms, which are incorporated into the sales agent terms of membership application.

POLICIY

The Policy has been formulated for the purpose of ensuring growth and practical business operations, for you to use on a regular basis. Please refer to them when you have questions about training aids of any kind for sale to other members without the prior written permission from Your-email-network or need to clarify any concerns about your business practices.

When you register as a sales agent of Your-email-network you agree to follow and be bound by the Policies, Ethics and Terms, which are incorporated into the sales agent application.

Violations of the Policy, Ethics or terms Member Agreement, or the written Policies and Procedures may be cause for cancellation of any sale agent status.

TERMS

An applicant is considered to be a sales agent, after Your-email-network accepts the completed sale agent application and accepts payment.

Your-email-network reserves the right to accept or reject any sales agent application without having to assign any reason for its acceptance or rejection.

All Your-email-network sales agents are independent contractors and are neither agents nor employees of Your-email-network.

Sales agents as part of their membership are provided with an individual area of the website to conduct any business or use for promotional or sales activities through the use of their membership number which shall be removed on cancellation of the sales agent membership.

Your-email-network sales agents are responsible for bearing all costs and expenses incurred in the conduct of their sales activity.

Your-email-network sales agents must be 18 years of age or older.

The sales agent must provide valid bank account details to allow any transactions to be conducted by electronic funds transfer ( EFT)

A Your-email-network sales agent must have only one sponsor.

Husbands and wives married or de facto, may sponsor each other or have different sponsors. This also applies to any interlocking directorships or share holdings that may exist from a business/sales agent relationship.

However it should be noted, that all sales agents are required to meet their own personal for suitability for application as a Your-email-network sale agent. This also applies to any interlocking directorships or share holdings that may exist from a business/member relationship.

It is the responsibility of sales agent to maintain or update any details of their sales agent account, such as email address, postal address, and phone number and bank details and Your-email-network will accept no responsibility for any loss (moral, physical or financial or legal or any other kind of loss) caused by entering wrong information into an application form or failing to update any details that affects the sales agents business.

All sales agents shall pay the sales agent membership fee to become a sales agent to buy and sell the Your-email product subscription based email address service product.

All sales agents shall activly sell the Your-email product subscription based email address service product.

To maintain the sales agent membership all sales must participate in a minimum monthly purchase of a Your-email email subscription service product.

Sales agents must purchase a Your-email email subscription service product before or on the monthly anniversary of the sales agent membership date.

Any sales agents that fail to meet the minimum monthly purchase of a Your-email email subscription service product will result in the membership being cancelled and forfeiture of any future network sales commissions.

Sales agents may enter the automatic monthly order Your-email email subscription service disc to ensure that their membership remains validated by the supplying of a valid credit card.

Sales agents participating in the automatic monthly order Your-email email subscription service product program will have the tranasaction conducted on the 18th of each month will receive an email if the payment for the monthly order fails, this must be corrected within 24 hours.

Should any sales agents registered in the automatic monthly order Your-email email subscription service product payment fail to meet their obligations will result in the membership being cancelled and forfeiture of any future network sales commissions.

All monthly sales purchases are validated on the 20Th of every month and the information being made availble on the agents websiteon the 22nd, with all sales commissions being paid by electronic fund transfer by the 26th of every month to the bank details as supplied.

Any commissions or payment issues requier that the contact form is used and any issues shall be corrected and be included into the following month commission payment process.

SALES AGENT RESPONSIBILITIES ON SALE OF THE PRODUCT

Sales agents on sale of the product must:

inform the purchaser that the product requires an annual subscription
must record sales details i.e. date, person, their email address
must ensure the purchaser records their sales agent details on activation of subscription
inform the purchaser they have 14 days in which to cancel their subscription
inform the customer that any cancellations is via the website www.your-email.net
not misrepresent the product in anyway
sell only a un-opened product as supplied by 818 Software
ensure that the product is presented in as new condition.

SALES AGENT MEMBERSHIP RIGHTS AND RESPONSIBILITIES

Sales agents shall purchase the your-email subscription service product disc for the wholesale cost of $36.50 and are permitted to sell the product for a recommended retail price of $52.00.

Sales agents who choose to promote the Your-email-network are able to earn sales commissions on the sales of sponsored sales agents within the levels of their network must understand and agree to abide by the sales agent terms of membership to be entitled to participate as a sales agent upon submitting a valid application for a sponsored independent sales agent membership.

To qualify for sale commissions within a sales agent network, a sales agent personally introduces and sponsors other pesons to become independant sales agents that form their network within their Your-email-network.

Commissions are paid to the sponsoring sales agent based on the sales generated by the sponsored sales agent who purchase and on sell the Your-email email subscription service product.

The Your-email-network sale agent’s network consists of personally sponsored sales agents who are placed on your 2nd (Second) level, and the sales agents that are sponsored by these sales agents are placed on the sales agents 3rd (Third) level.

Your-email-network sales agents scale of commission payments from their network agent sales are as follows:

Level 1 =You
Level 2 = Personally sponsered members
Level 3 = Additional members

Commisions paid on a validated sale, of a Your-email email subscription service.

$ 12.50 level 1 your personal sale
$ 10.00 level 2 of your sales agent network.
$ 8.00 level 3 of your sales agent network.

Sales agents are to ensure that any sales agents being sponsored by them must include their sales agent number and name on the sales agent membership application, failure of this will result in the new sales agent to be placed in the next available position in the Your-email-network.

Sales agents purchase the Your-email email service subscription product to sell to receive a direct commission from the sale of the product.

The purchaser can purchase the product with no obligation to become a member of the sales agent’s network.

Sales agents are paid sales commissions on monthly product sales generated by the sale agents within the agent’s network.

INTRODUCING NEW SALES AGENTS

All sales agents have the option of introducing other sales agents to form a network of sales agents to benefit from the sales of those sponsored sales agents.

When an existing sales agent introduces a new sale agent they have the responsibility to assist, train, develop and monitor the new member they introduce, in the various aspects of the program.

In addition, every person has the right to choose his or her own introducer.

If two sales agents should claim to be the sponsor of the same new sales agent, Your-email-network shall regard the first completed application received as to defining the sponsor of the new sales agent.

A sponsoring sales agent must not exaggerate any earning potential that may result from sales within the Your-email-network business.

A sponsoring sales agent is obliged to fairly and fully explain the Your-email-network marketing plan to all prospective sales members, making sure to stress that the degree of success is directly related to individual effort and ability.

PROMISES MADE BY YOUR-EMAIL-NETWORK MEMBERS

When a member presents Your-email or the Your-email-network to others they should understand all aspects of the sales commission payment and not make any representation or promise that is not contained in the terms of the sales agent agreement or in the Your-email-network literature and promotional materials, this representation extends to any print media, video/audio media or any other form of advertisement/promotion.

If a prospective sales agent relies on any promises made by a sponsoring sales agent that is not stated in the terms of sales agent membership and/or official company materials, and the sales agent fails to keep any such a promise, the new sales agent shall only have recourse against the sponsoring sales agent and not Your-email-network.

If any sales agent believes that the sponsoring sales agent or information provide has unfulfilled any promise or was misleading they have the option of lodging a complaint with Your-email-network by the use of the contact form and receipt of such a complaint, Your-email-network will investigate the matter as it deems necessary and, upon validation of such a complaint, impose appropriate penalties on the offending sales agent.

Such action however will not result in any recovery of damages by Your-email-network on behalf of the sponsored sales agent.

DOMAIN NAMES AND WEBSITE ADDRESSES

Members may not use the name "Your-email" in a domain name to promote Your-email-network; this includes any extensions of this name such as "Your-email-network-Team", "Your-email-network leaders", etc.

This is to protect the branding of Your-email and to prevent any person thinking that any other website address or domain name is representing Your-email corporately.

Any member found using the words Your-email in their domain name will be asked to remove this domain name. If the member does not comply they will risk termination of their sales agent membership.

ADVERTISING

To seek approval for any advertising material or for any contact with Your-email-network the sales agent must make use of the contact form, and enclose any information or requests in writing in the first instance.

Advertising in any form is strictly prohibited without written approval from Your-email-network, this includes advertising business opportunity or income benefits whether or not the Your-email name or logo is used.

This includes advertising in; newspapers, magazines, on flyers, letter box drops, radio, television, recorded messages on answering machines, barter card type systems and the like, any telephone directories, White Pages, Yellow Pages, local directories and the like.

Members are only permitted to promote and/or advertise themselves as Independent sales agents of Your-email-network.

Members are not permitted to take advantage of the Your-email name and are therefore not permitted to either infer or imply that they have a direct association or affiliation with Your-email or the Your-email-network by promoting themselves by way of Your-email variations.

All advertising and promotional material approved by Your-email-network can be used by sales agents but no sales agents will be permitted to have exclusive rights to approved advertising and promotional material, failure to comply will result in the immediate cancellation of the sale agents membership.

LITERATURE

Your-email-network produces approved literature for use by sales agents this literature must not be reproduced or edited in any way.

All promotional material appearing in the Your-email-network agents resources area is approved for downloading to print and copying onto disc for promotional use to by sales agents to increase the sales of the Your-email subscription service, it may not be altered or added to in any way.

THIRD PARTY MARKETING MATERIALS CREATED BY SALES AGENTS

Members may create their own marketing materials, websites and any marketing material that use the name Your-email or any of Your-email’s logos, trademarks or trade names MUST be approved by Your-email-network compliance department before they can be used.

Websites: Please note that sales agents may NOT put any website online that promotes the Your-email-network until you receive a compliance approval number from Your-email-network. The following disclaimer and approval number must be placed on the website with a minimum size of 10 Point bold.

"This website is owned by an Independent sales agent of Your-email-network and is approved. Approval number##### "

To seek compliance approval the sales agent must make use of the contact form, stating the domain name and any information on the proposed website and may be requested to supply a copy of the site content for application approval.

If the approval is granted and the any web content is changed to reflect any misleading information about the product or network the sale agent may have their approval number revoked and sale agent membership canceled.

Your-email-network has no liability or responsibility for any content, including the quality, accuracy, completeness, legality, or usefulness of any information, product, service or process promoted on a sales agent’s web site or other marketing materials.

In no event shall Your-email-network be liable for any claims or damages of any kind arising from the contents of any website or marketing materials created by a or for a sales agent.

References in a sales agent’s website or marketing materials to products, services, processes, hypertext links to third parties or other information by trade name, trademark, manufacturer, supplier or otherwise do not constitute or imply an endorsement or recommendation by Your-email-network.

TRADEMARKS AND MARKETING MATERIALS

Members will not use the Your-email or Your-email-network trade names and/or trademarks except to promote Your-email-network. In all such authorised use, sales agent will ensure that they represent themselves as an independent sales agent and that all marketing efforts are the responsibility of the sales agent and not the Your-email-network company.

Any sales and marketing materials supplied by Your-email-network may NOT be on sold to other parties at a profit and that any purchase of these materials from Your-email-network does not qualify the member for any sales commissions.

Your-email-network makes no warranty, express or implied, with respect to the use, efficacy or suitability for any purpose with respect to any such marketing material unless otherwise explicitly stated in writing in connection with the purchase thereof.

THIRD PARTY MARKETING MATERIALS CREATED BY SALES AGENTS

Members may create their own marketing materials and any marketing materials that use the name Your-email or any of Your-email’s logos, trademarks or trade names MUST be approved by Your-email-network compliance department before they can be used.

Please note that sales agents may NOT put any website online that promotes the Your-email-network until you receive a compliance approval number from Your-email-network. This number must be placed on the website along with the following wording.

"This website is owned by an Independent sales agent of Your-email-network"

In no event shall Your-email-network be liable for any claims or damages of any kind arising from the contents of any website or marketing materials created by a or for a sales agent.

MEDIA

No sales agent may speak for Your-email or the Your-email-network by way of an interview on radio, television or through the press, including any periodical, if approached for such a purpose the sales agent must direct the interested party to the contact form of the website or to contact Your-email-network direct.

COMPLIANCE APPROVAL

YOUR-EMAIL AND THE YOUR-EMAIL-NETWORK WEBSITE

On occasion, Your-email or the Your-email-network websites will undergo routine maintenance or experience unexpected technical problems.

Your-email or the Your-email-network will make a good-faith effort to do maintenance as quickly and conveniently as possible, and to respond to technical problems promptly.

Your-email or the Your-email-network may be required to access an Associate's web site from time to time to provide maintenance.

Your-email or the Your-email-network will not in any circumstance be responsible for problems, losses, or damages arising from loss of connectivity; errors in content due to application problems; loss of access by members; or temporary or permanent loss of data.

CONFIDENTIALITY

Your-email email subscription service disc product distributed through Your-email-network is a proprietary product that is owned and supplied by 818 Software and remains the property of 818 Software under all conditions.

Sales agents hereby agree to not directly or indirectly disclose or use any of said confidential or proprietary information on the termination of the sales agent membership for a period of one year.

CHANGES TO THE SALES AGENT TERMS OF MEMBERSHIP.

Your-email-network may from time to time make changes to its terms of sales agent membership or cost of the Your-email email service subscription discs as required, the sales agent is responsible to be aware of any changes to the terms of sales agent membership.

MAINTENANCE OF SALES AGENT INFORMATION

It is the responsibility of sales agent to maintain or update any details of their sales agent account, such as email address, postal address, and phone number and bank details.

This will ensure the sales agent is kept up to date with all email updates from Your-email-network and Your-email-network will bear no responsibility for any loss (moral, physical or financial or legal or any other kind of loss) caused by entering wrong information into an application form or failing to update any details that affects the sales agents business.

SECURITY

All sales agents must keep any passwords and other secure access information confidential and notify Your-email-network promptly if the sales agent believes that the security of an account has been compromised.

Your-email-network has taken reasonable steps to protect the security of online transactions however, Your-email-network cannot and does not warrant such security and will not be liable for any losses or damages resulting from any security breaches.
