YOUR-EMAIL INDEPENDENT SALES AGENT'S TERMS & POLICY

Please read through the Terms and Policy carefully to fully benefit and understand your rights and responsibilities as an Independent Sales Agent of Your-email network.

Your-email network uses the terms: Independent Sales Agents, sponsor and members, these are one and the same.

Your-email-network reserves the right to revise this information at any time. When you register as a sales agent of Your-email-network you agree to follow and be bound by the Terms and Policy, which are incorporated into the Independent Sales Agent terms of membership application.

TERMS

An applicant is considered to be an Independent Sales Agent, after Your-email network accepts the completed Independent Sales Agent application and accepts the joining fee of $ 165.00 as payment for the distributor pack.

The distributor pack consists of 3 subscription sales CD discs, 1 product sales CD disc and 1 Distributor CD Disc.

Your-email network reserves the right to accept or reject any Independent Sales Agent application without having to assign any reason for its acceptance or rejection.

The Independent Sales Agent may cancel their membership within 7 days by use of any of the contact forms within the website, on receipt of all material supplied in an un-opened condition via post to P.O. BOX 818 ASHMORE CITY, ASHMORE QLD 4214 AUSTRALIA within 21 days a refunded of $145.00 will be sent to the canceling agent.

The Independent Sales Agent may cancel their membership at any time by either contacting Your-email via the use of the contact form.

The Independent Sales Agent will be deemed to be inactive by the failure to purchase Your-email email subscription service product sales disc monthly.

The applicant is responsible for all of the information entered into the Independent Sales Agent application and Your-email network will not in any circumstance be responsible for problems, losses, or damages arising from the information provided not being correct.

All Your-email network Independent Sales Agents are Independent contractors and are not an employee for any purpose.

Independent Sales Agent as part of their membership are provided with an individual area of the website to conduct any business or use for promotional or sales activities through the use of their membership number which shall be removed on cancellation of the Independent Sales Agents membership.

Your-email network Independent Sales Agents are responsible for bearing all costs and expenses incurred in the conduct of their sales activity.

Your-email network Independent Sales Agents must be 18 years of age or older.

The Independent Sales Agents must provide and maintain an active PayPal account for all Commission payments.

A Your-email network Independent Sales Agents must have only one sponsor.

Husbands and wives married or de facto, may sponsor each other or have different sponsors, this also applies to any interlocking directorships or share holdings that may exist from a business/sales agent relationship.

However it should be noted, that all Independent Sales Agents are required to meet their own personal suitability for application as a Your-email network Independent Sales Agent.

It is the responsibility of Independent Sales Agent to maintain or update any details of their agent account, such as email address, postal address, and phone number and PayPal Account details and Your-email network will accept no responsibility for any loss (moral, physical or financial or legal or any other kind of loss) caused by entering wrong information into an application form or failing to update any details that affects the Independent Sales Agent’s business.

All sales agents shall actively sell the Your-email product subscription based email address service product.

To maintain the Independent Sales Agent membership all Independent Sales Agent must participate in a minimum monthly purchase of 1 (one) Your-email subscription service product sales disc by the 8th of every month.

Any Independent Sales Agent that fails to meet the minimum monthly purchase of 1 Your-email email subscription service product will result in the membership being made inactive and forfeiture of any future network sales commissions.

Independent Sales Agents are required to enter the automatic monthly order Your-email subscription service disc within 14 days of the application being validated to ensure that their membership remains active by the supplying of a valid credit card.

The automatic monthly order transaction is conducted on the 8th of each month will receive an email if the payment for the monthly order fails, this must be corrected within 24 hours.

All monthly sales purchases are validated on the 12th of every month and the information being made available on the agent’s website on the 18th with all sales commissions being paid by PayPal fund transfer commences on the 25th of every month to the PayPal account as supplied.

Any Independent Sales Agent that is deemed inactive will have their commision staus suspended in the month they fail to meet the monthly order transaction and their membership will be removed from the network system if there are no transactions by use of the relevant membership for a 6 month period.

If any Independent Sales Agent does not wish enter into the monthly order transaction and not be part of the commision plan they can still become an Independent Sales Agent with no sponsor by using the company agent join page http://www.your-email.net/network/1

PROMISES MADE BY YOUR-EMAIL-NETWORK MEMBERS

When an Independent Sales Agent presents Your-email network to others they should understand all aspects of the sales commission payment and not make any representation or promise that is not contained in the terms of the sales agent agreement or in the Your-email-network literature and promotional materials, this representation extends to any print media, video/audio media or any other form of advertisement/promotion.

If a prospective Independent Sales Agents relies on any promises made by a sponsoring sales agent that is not stated in the terms of Independent Sales Agents terms of membership and/or official company materials, and the Independent Sales Agent fails to keep any such a promise, the Independent Sales Agent shall only have recourse against the sponsoring Independent Sales Agent and not Your-email network.

If any Independent Sales Agent believes that the sponsoring Independent Sales Agent or information provide has unfulfilled any promise or was misleading they have the option of lodging a complaint with Your-email network by the use of the contact form and receipt of such a complaint, Your-email network will investigate the matter as it deems necessary and, upon validation of such a complaint, impose appropriate penalties on the offending Independent Sales Agent.

Such action however will not result in any recovery of damages by Your-email-network on behalf of the sponsored Independent Sales Agent.

POLICY

The Policy has been formulated for the purpose of ensuring growth and practical business operations, for you to use on a regular basis. Please refer to them when you have questions about training aids of any kind for sale to other members without the prior written permission from Your-email network or need to clarify any concerns about your business practices.

SALES AGENT RESPONSIBILITIES ON SALE OF THE PRODUCT

Independent Sales Agent on sale of the product must:

* inform the purchaser that the product requires an annual subscription

* record sales details i.e. date, person, their email address

* ensure the purchaser records their sales agent details on activation of subscription

* inform the purchaser they have 14 days in which to cancel their subscription

* inform the customer that any cancellations is via the website contact form at www.your-email.net/contact_us

* not misrepresent the product in anyway

* sell only an un-opened product as supplied by 818 Software

* ensure that the product is presented in an as new condition.

SALES AGENT MEMBERSHIP RIGHTS AND RESPONSIBILITIES

Independent Sales Agent shall purchase the Your-email subscription service product disc for the wholesale cost of $41.25 and are permitted to sell the product for a recommended retail price of $60.00 but may sell the product at any price.

Independent Sales Agents who choose to promote the Your-email -network are able to earn sales commissions on the purchases made by the sponsored Independent Sales Agents within the levels of their network.

To qualify for commissions within an Independent Sales Agent’s network, an Independent Sales Agent personally introduces and sponsors other persons to become Independent Sales Agents that form their network within their Your-email network level 2.

Commissions are paid to the sponsoring Independent Sales Agent based on the purchases of the Your-email subscription service product disc generated by the sponsored Independent Sales Agent who purchases products for retail sale.

The Your-email-network sale agent’s network consists of personally sponsored Independent Sales Agents who are placed on your 2nd (Second) level, and the Independent Sales Agents that are sponsored by these Independent Sales Agents are placed on the Independent Sales Agent’s 3rd (Third) level.

Commisions are paid on all validated sales on the 12th of the month

The Leaders Bonus

To qualify for the Leaders Bonus you have to personally sponsored 10 acitive Independent Sale Agents.

These Independent Sale Agents that have their monthly purchases validated on the 12th of the month and the Leaders Bonus will pay $3.75 per active Independent Sale Agents on your 4TH level.

Your-email-network Independent Sales Agents scale of commission payments from their network agent sales are as follows:

Level 1 =You
Level 2 = Personally sponsored members
Level 3 = Additional members
Level 4 = Additional members (Leaders Bonus Only)

Commissions paid on all monthly validated purchases, of a Your-email subscription service sales disc.

$ 18.75 level 1 your personal sale
$ 15.00 level 2 of your sales agent network
$ 7.50 level 3 of your sales agent network
$ 3.75 level 4 of your sales agent network (Leaders Bonus Only)

Independent Sales Agents are to ensure that any Independent Sales Agents being sponsored by them must include their sales agent number and name on the Independent Sales Agents membership application, failure of this will result in the new Independent Sales Agents to be placed in the next available position in the Your-email network.

Independent Sales Agents that do not set up a monthly maintenance and will be deemed inactive, these inactive Independent Sales Agents will be moved from the active network after 2 months and placed into the inactive network and given a new agent number assigned by Your-email.net after failing to order a monthly Your-email email subscription service sales disc.

These inactive Independent Sales Agents will not be entitled to any network commissions, but may still place orders for the Your-email subscription service sales disc.

The purchaser can purchase the product with no obligation to become an Independent Sales Agents or a member of the Independent Sales Agent’s network.

INTRODUCING NEW SALES AGENTS

All Independent Sales Agents have the option of introducing other Independent Sales Agents to form a network of Independent Sales Agents and to benefit from the purchases by those sponsored Independent Sales Agents.

When an existing Independent Sales Agent introduces a new Independent Sales Agent they have the responsibility to assist, train, develop and monitor the new Independent Sales Agent in the various aspects of the program.

In addition, every person has the right to choose his or her own sponsor.

If two Independent Sales Agents should claim to be the sponsor of the same new Independent Sales Agent, Your-email-network shall regard the first completed application received as to defining the sponsor of the new Independent Sales Agent.

A sponsoring Independent Sales Agent must not exaggerate any earning potential that may result from any sales or network activity within the Your-email-network business.

A sponsoring Independent Sales Agent is obliged to fairly and fully explain the Your-email-network marketing plan to all prospective sales members, making sure to stress that the degree of success is directly related to individual effort and ability.

PROMISES MADE BY YOUR-EMAIL-NETWORK MEMBERS

Such action however will not result in any recovery of damages by Your-email-network on behalf of the sponsored Independent Sales Agent.

DOMAIN NAMES AND WEBSITE ADDRESSES

Members may not use the name "Your-email" in a domain name to promote Your-email-network; this includes any extensions of this name such as "Your-email-network-Team", "Your-email-network leaders", etc.

This is to protect the branding of Your-email and to prevent any person thinking that any other website address or domain name is representing Your-email corporately.

Any member found using the words Your-email in their domain name will be asked to remove this domain name. If the member does not comply they will risk termination of their Independent Sales Agent membership.

ADVERTISING

To seek approval for any advertising material or for any contact with Your-email network the sales agent must make use of the contact form, and enclose any information or requests in writing in the first instance.

Advertising in any form is strictly prohibited without written approval from Your-email-network, this includes advertising business opportunity or income benefits whether or not the Your-email name or logo is used.

This includes advertising in; newspapers, magazines, on flyers, letter box drops, radio, television, recorded messages on answering machines, barter card type systems and the like, any telephone directories, White Pages, Yellow Pages, local directories and the like.

Members are only permitted to promote and /or advertise themselves as Independent Sales Agents of Your-email network.

Members are not permitted to take advantage of the Your-email name and are therefore not permitted to either infer or imply that they have a direct association or affiliation with Your-email or the Your-email-network by promoting themselves by way of Your-email variations.

All advertising and promotional material approved by Your-email-network can be used by sales agents but no sales agents will be permitted to have exclusive rights to approved advertising and promotional material, failure to comply will result in the immediate cancellation of the sale agents membership.

LITERATURE

Your-email-network produces approved literature for use by Independent Sales Agents this literature must not be edited in any way.

All promotional material appearing in the Your-email Independent Sales Agent’s resources area is approved for downloading to print and copying onto disc for promotional use to by Independent Sales Agents to increase the sales of the Your-email subscription service; it may not be altered or added to in any way.

THIRD PARTY MARKETING MATERIALS CREATED BY SALES AGENTS

Independent Sales Agent may not create their own marketing materials, websites and any marketing material that uses the name Your-email or any of Your-email’s logos, trademarks or trade names other than the Independent Sales Agent website address: http://www.your-email.net/network/(Agent Number)

The Independent Sales Agent can apply to use the name Your-email or any of Your-email’s logos, trademarks or trade names from Your-email network compliance department and must be approved before they can be used.

Websites: Please note that sales agents may NOT put any website online that promotes the Your-email-network until you receive a compliance approval number from Your-email-network. The following disclaimer and approval number must be placed on the website with a minimum size of 10 Point bold.

"This website is owned by an Independent Sales Agent of Your-email network and has been approved. Approval number # "

To seek compliance approval the sales agent must make use of the contact form, stating the domain name and any information on the proposed website and may be requested to supply a copy of the site content for application approval.

If the approval is granted and the any web content is changed to reflect any misleading information about the product or network the sale agent may have their approval number revoked and Independent Sales Agent membership canceled.

Your-email-network has no liability or responsibility for any content, including the quality, accuracy, completeness, legality, or usefulness of any information, product, service or process promoted on an Independent Sales Agent web site or other marketing materials.

In no event shall Your-email network be liable for any claims for damages of any kind arising from the contents of any website or marketing materials created by a or for an Independent Sales Agent.

References in an Independent Sales Agent’s website or marketing materials to products, services, processes, hypertext links to third parties or other information by trade name, trademark, manufacturer, supplier or otherwise do not constitute or imply an endorsement or recommendation by Your-email network.

TRADEMARKS AND MARKETING MATERIALS

Independent Sales Agent members will not use the Your-email or Your-email-network trade names and/or trademarks except to promote Your-email network. In all such authorised use, the Independent Sales Agent will ensure that they represent themselves as an Independent Sales Agent and that all marketing efforts are the responsibility of the Independent Sales Agent and not Your-email network.

Any sales and marketing materials supplied by Your-email network may NOT be on sold to other parties at a profit and that any purchase of these materials from Your-email network does not qualify the Independent Sales Agent member for any commissions.

Your-email network makes no warranty, express or implied, with respect to the use, efficacy or suitability for any purpose with respect to any such marketing material unless otherwise explicitly stated in writing in connection with the purchase thereof.

MEDIA

No Independent Sales Agent may speak for Your-email or the Your-email network by way of an interview on radio, television or through the press, including any periodical, if approached for such a purpose the Independent Sales Agent must direct the interested party to the contact form of the website or to contact Your-email-network direct.

COMPLIANCE APPROVAL

To seek approval for any advertising material or for any contact with Your-email-network the sales agent must make use of the contact form, and enclose any information or requests in writing in the first instance.

YOUR-EMAIL AND THE YOUR-EMAIL-NETWORK WEBSITE

On occasion, the Your-email network websites will undergo routine maintenance or experience unexpected technical problems.

Your-email network will make a good-faith effort to do maintenance as quickly and conveniently as possible, and to respond to technical problems promptly.

Your-email network may be required to access an Independent Sales Agent's web site from time to time to provide maintenance.

Your-email network will not in any circumstance be responsible for problems, losses, or damages arising from loss of connectivity; errors in content due to application problems; loss of access by Independent Sales Agents; or temporary or permanent loss of data.

CONFIDENTIALITY

Your-email email subscription service disc product distributed through Your-email network is a proprietary product that is owned and supplied by 818 Software and remains the property of 818 Software under all conditions.

Independent Sales Agents hereby agree to not directly or indirectly disclose or use any of said confidential or proprietary information on the termination of the Independent Sales Agent membership for a period of one year.

CHANGES TO THE INDEPENDENT SALES AGENT TERMS OF MEMBERSHIP

Your-email may from time to time make changes to its Independent Sales Agent terms of membership or cost of the Your-email email service subscription discs as required, the sales agent is responsible to be aware of any changes to the Independent Sales Agent terms of membership.

SECURITY

All Independent Sales Agents must keep any passwords and other secure access information confidential and notify Your-email network promptly if the sales agent believes that the security of an account has been compromised.

Your-email network has taken reasonable steps to protect the security of online transactions however, Your-email network cannot and does not warrant such security and will not be liable for any losses or damages resulting from any security breaches.

Your-email network reserves the right to revise this information at any time. When you register as a sales agent of Your email-network you agree to follow and be bound by the Terms and Policy, which are incorporated into the sales agent terms of membership application.
